Official Rules

A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING.

OPEN ONLY TO LEGAL RESIDENTS OF THE 50 UNITED STATES OR DISTRICT OF COLUMBIA
WHO ARE CURRENT ZONEPERFECT® VIP MEMBERS AND ARE OF THE AGE OF MAJORITY
IN THEIR STATE OF RESIDENCE.

1. PROMOTION OVERVIEW: "ZonePerfect® VIP Win a Year's Supply Sweepstakes Promotion" ("Promotion") consists of four (4) periodic sweepstakes (each a "Periodic Sweepstakes"). You must be a ZonePerfect VIP Member to participate. You can enter each Periodic Sweepstakes by confirming or updating your ZonePerfect VIP Member profile ("Profile") during the periods listed in the table ("Table") in Rule 2 below. The VIP Member Confirm/Update Profile Period dates are the same dates as the start and end dates for each Periodic Sweepstakes. When you confirm or update your VIP Member Profile during a Periodic Sweepstakes you will automatically receive one (1) entry into that respective Periodic Sweepstakes. The first Periodic Sweepstakes starts on 6/8/09 at 12:00:01 A.M., Eastern Time ("ET") and the last Periodic Sweepstakes ends on 3/31/10 at 11:59:59 P.M, ET. ("Promotion Period"). Entries from one Periodic Sweepstakes will not be carried over to any other Periodic Sweepstakes.

2. HOW TO ENTER: You will earn one (1) entry into a Periodic Sweepstakes by following the online instructions described in the monthly ZonePerfect VIP online newsletter to confirm or update your Profile during the dates designated in the table below. You can only confirm/update your Profile once each Periodic Sweepstakes. To ensure that you automatically receive your entry, you must be enrolled as a VIP Member at least thirty-six (36) hours before the End Date listed in the Table below. Sponsor is not responsible for any failure by entrant to update his/her mailing address, e-mail address, and/or telephone number. Limit: one entry per person per Periodic Sweepstakes regardless of e-mail address used.

3. RANDOM DRAWINGS: On or about the dates listed in the Table above, Abbott Laboratories ("Sponsor") will randomly select one potential Periodic Sweepstakes winner in a drawing from among all of the eligible entries received during each of the four respective Periodic Sweepstakes. Sponsor's decisions will be final in all matters pertaining to this Promotion. The potential winner(s) will be notified by e-mail on or about the dates listed above and be given 10 (ten) days to sign, complete and return a notarized Affidavit of Compliance/Eligibility and Publicity/Liability Release within the time period above or the Prize will be forfeited and an alternate potential Winner will be selected. . Should the potential winner not respond within 10 (ten) days, Sponsor has the right to randomly select another potential winner who will then have 10 (ten) days to respond. This process will continue until a potential winner responds within the allotted timeframe.

4. GRAND PRIZES & ODDS OF WINNING: (4 PERIODIC SWEEPSTAKES/ 1 WINNER PER PERIODIC SWEEPSTAKES): Each Grand Prize Winner ("Winner"), one (1) per Periodic Sweepstakes, will receive a one (1) year supply of ZonePerfect All-Natural Nutrition Bars, ("Bars") i.e., three (3) cases consisting of one hundred forty-four (144) Bars in each case (Approximate Retail Value: $ 185.76 each case; ARV of 3 cases: $557.28; Total ARV of all Prizes awarded in Promotion: $2229.12). Each Winner may select his/her choice of three (3) current Bar flavors. All costs and expenses not included above, e.g. federal, state, or local taxes, are the sole responsibility of each Winner. Prizes are not redeemable for cash; nor are they transferable or substitutable except that Abbott Laboratories ("Sponsor") may, at its sole discretion, substitute a Prize with one of equal or greater value. The potential Winners will be notified by e-mail on or about the dates listed in the Table above. Odds of winning depend on the number of eligible entries received in that respective Periodic Sweepstakes. Limit: One Prize per person or household address throughout the Promotion Period.

5. ELIGIBILITY: The Sweepstakes is open only to persons who are legal residents of the 50 United States or the District of Columbia who are current ZonePerfect VIP Members and are of the age of majority in their state of residence. Persons who are officers, directors, or employees (and members of household or their immediate family, i.e. spouse, parent, child, or sibling and their household members) of Sponsor, and its respective affiliates, subsidiaries, franchisees, dealers, distributors, advertising, promotion and web design agencies and other individuals/entities associated with this Promotion are not eligible to enter or win.

6. RELEASE: By entering, each entrant releases and agrees to indemnify and hold harmless the officers, directors and employees of Sponsor, and its respective parent companies, subsidiaries, affiliates, divisions, dealers, distributors, suppliers, advertising/promotion/web design agencies, and all other individuals or entities involved in the creation, administration, or fulfillment of this Promotion (all of the former collectively referred to as "Sponsor & Others"), from and against any and all costs, claims, damages, or any other injury, whether due to negligence or otherwise, to person(s) or property (including, without limitation, death or violation of any personal rights, such as violation of right of publicity/privacy, libel, or slander), due in whole or in part, directly or indirectly, to participation in the Promotion, or arising out of participation in any Promotion-related activity.

7. LIMITATIONS OF LIABILITY/INTERNET: Sponsor & Others are not responsible for illegible, lost, late, incomplete, stolen, misdirected postage due, or undeliverable, e-mail, or postal mail; or for any computer, telephone, satellite, cable, network, electronic or Internet hardware or software malfunctions, failures, connections, or availability, or garbled, corrupt or jumbled transmissions, service provider/Internet/web site/use net accessibility, availability, or traffic congestion, or any technical or typographical error, or unauthorized human intervention, or the incorrect or inaccurate capture of registration information, or the failure to capture, or loss of, any such information. Sponsor & Others are not responsible for any incorrect or inaccurate information, whether caused by web site users or any web site tampering, hacking, or by any of the equipment or programming associated with or utilized in the Promotion and assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, technical error, theft or destruction or unauthorized access to any website(s). If, for any reason, the Promotion is not capable of running as planned, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Promotion and/or proceed with the Promotion in a manner deemed fair and appropriate by Sponsor, including selection of winners from among eligible entries received prior to such cancellation, termination, modification or suspension. IN NO EVENT WILL SPONSOR & OTHERS AND THEIR RESPECTIVE AGENTS BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR PARTICIPATION IN THIS PROMOTION, INABILITY TO PARTICIPATE IN THIS PROMOTION OR ACCEPTANCE OF ANY PRIZE.

8. PRIVACY POLICY: Any personally identifiable information collected during an entrant's participation in this Promotion will be collected by Sponsor and used by Sponsor, its affiliates, agents and marketers for purposes of the proper administration and fulfillment of the Promotion as described in these Official Rules and in accordance with Sponsor's Privacy Policies as such is stated at www.abbott.com/global/url/content/en.

9. PUBLICITY RIGHTS: By signing the Affidavit of Compliance/Eligibility and Publicity/Liability Release and therefore accepting the prize, each Winner agrees to allow Sponsor and/or Sponsor's designee the perpetual right to use his/her name, biographical information, photos and/or likeness, and statements for promotion, trade, commercial, advertising and publicity purposes, at any time or times, in all media now known or hereafter discovered, worldwide, including but not limited to on the World Wide Web and Internet, without notice, review or approval and without additional compensation except where prohibited.

10. GENERAL: By entering this Promotion, participants agree to abide by these Official Rules. All federal, state and local laws and regulations apply. In the event of a dispute as to the identity of a winner based on an e-mail address, the winning entry will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Sponsor reserves the right to disqualify any individual found, in its sole opinion, to be tampering with the operation of the Promotion; to be acting in violation of these Official Rules; to be acting with the intent to disrupt the normal operation of this Promotion; or to be acting in an unsportsmanlike manner as solely determined by Sponsor. Any use of robotic, automatic, macro, programmed, third party or like methods to participate in the Promotion will void any attempted participation effected by such methods and the disqualification of the individual utilizing the same. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON (S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. The interpretation of these Official Rules shall be governed by the laws of the State of Illinois. Any and all disputes will be resolved individually, without resort to class action, and exclusively by a sole arbitrator in a binding, non-reviewable and non-appealable proceeding conducted in accordance with the Non-Administered Arbitration Rules of the International Institute for Conflict Prevention & Resolution, 575 Lexington Ave., 21st Floor, New York, NY 10022, (2) any such proceeding shall be held in Chicago, IL and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Should there be a conflict between the laws of the State of Illinois and any other laws, the conflict will be resolved in favor of the laws of the State of Illinois. All federal, state, and local laws apply. All entries become property of Sponsor and will not be returned. Void in all jurisdictions other than those included above and where prohibited by law.

11. WINNERS LIST: The Winner of each Periodic Sweepstakes will be announced in the ZP Insider (ZonePerfect's e-newsletter) on or about the date listed in the Table above.
These "ZonePerfect® VIP Win a Year's Supply Sweepstakes Promotion" Rules may not be republished or re-printed without the prior written consent of Abbott Laboratories.
